A company limited by guarantee is used for "not for profit" companies such as registered charities or running
a communal event. There are different formats of Memorandum and Articles of Association and we can advise you on
the correct one to use. They are set up with specific objects in mind and therefore are not available off the shelf.
Many charities are set up as limited companies under the format of "a company limited by guarantee without share capital,"
with a special memorandum and articles of association, which is known informally as "a charity company." We have
experience in setting up a UK limited company to act as a charity company which means that it will be registered at
Companies House and gives you the option to also register with the Charity Commission as a "registered charity," although
it is not mandatory to do so just because the company is "not for profit." The process of charity registration with the
Charity Commission is a separate one to registering at Companies House.
